Corporation and LLC Formations

Mark assists clients with the planning and formation of corporations, partnerships, LLCs and LPs as well as the preparation and drafting of the appropriate documents, such as bylaws, operating agreements, buy-sell agreements, shareholder agreements, etc. He also provides legal advice to businesses regarding issues in the daily operations of the business, and in the drafting and review of commercial leases, employment agreements, and various business contracts.

Buy/Sell Agreements

Mark frequently advises clients on buy-sell agreements, a binding contract between business partners or shareholders about the future ownership of the business. A buy-sell agreement is intended for use by the shareholders of a closely-held corporation and the corporation. It restricts the sale or other transfer of shares of stock and provides for a shareholder’s interest to be purchased by either the corporation or the other shareholders under certain circumstances.
